1. Acceptance of Terms

By accessing or using AgentReady's services, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, you may not use our services. These Terms constitute a legally binding agreement between you and agentfyo.com.

2. Description of Service

AgentReady provides an AI commerce readiness platform that includes store scanning, schema optimization, AI agent simulation, Shopify integration, automated fixes, feed API generation, and continuous monitoring services (collectively, the "Service"). The Service is designed to help merchants optimize their product data for discoverability by large language models and AI agents.

3. Account Registration and Security

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Security

You are responsible for all activities that occur under your account, whether or not you authorized such activities. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for any reason, including but not limited to violation of these Terms, fraudulent activity, or abuse of the Service.

4. Subscription and Payment Terms

4.1 Subscription Plans

AgentReady offers various subscription plans (Free, Starter, Growth, Pro) with different features and pricing. You agree to pay all fees associated with your chosen plan. All fees are non-refundable except as required by law.

4.2 Billing

For paid subscriptions, you authorize us to charge your payment method on a recurring basis (monthly or annually, as selected). You agree to provide accurate billing information and to update it promptly when changes occur.

4.3 Changes to Plans and Pricing

We reserve the right to modify our subscription plans and pricing at any time. We will provide at least 30 days' notice before any price increase takes effect for existing subscribers.

4.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing period. No refunds will be provided for partial months or unused portions of your subscription.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Use the Service to scan stores you do not own or have authorization to access
  • Attempt to circumvent any security measures or rate limits
  • Use automated scripts to abuse the Service or exceed usage limits
  • Reverse engineer, decompile, or attempt to extract source code from the Service
  • Use the Service to compete with AgentReady or create derivative products
  • Interfere with or disrupt the Service or servers connected to the Service
  • Violate any applicable local, state, national, or international law
  • Transmit any viruses, malware, or malicious code through the Service

6. Shopify Integration

6.1 Authorization

By connecting your Shopify store to AgentReady, you authorize us to access your product catalog, pricing, and metadata through Shopify's API. You represent that you have the authority to grant such access.

6.2 Data Modification

When you use our automated schema injection features, you authorize AgentReady to modify your store's theme files and product data to improve AI readiness. You understand that these modifications are made at your discretion and can be reverted at any time.

6.3 Shopify Terms

Your use of the Shopify integration is also subject to Shopify's terms of service and app store policies. We are not responsible for Shopify's actions or policies.

7. Intellectual Property

7.1 AgentReady Property

AgentReady and its licensors own all rights, title, and interest in and to the Service, including all software, text, graphics, logos, trademarks, and other intellectual property. You do not acquire any ownership rights in the Service.

7.2 Your Content

You retain ownership of all content you provide to the Service, including your product data and store information. By using the Service, you grant us a license to use, process, and analyze your content solely to provide the Service to you.

7.3 Feedback

Any feedback, suggestions, or ideas you provide about the Service become our property and may be used without restriction or compensation to you.

8. Disclaimers and Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

AI-readiness scores and recommendations are provided for informational purposes only. We cannot guarantee that implementing our recommendations will result in improved visibility in AI search results, as AI models are controlled by third parties.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTREADY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless AgentReady and its affiliates from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Data Processing Agreement

For customers in the European Economic Area, our Privacy Policy and these Terms constitute a Data Processing Agreement under GDPR. We act as a data processor for your store data and process it only in accordance with your instructions.

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including but not limited to breach of these Terms. Upon termination, your right to use the Service will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the European Union, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the International Chamber of Commerce.

14. General Provisions

  • These Terms constitute the entire agreement between you and AgentReady
  • Our failure to enforce any right or provision does not constitute a waiver
  • You may not assign or transfer these Terms without our written consent
  • We may assign these Terms to any affiliate or in connection with a merger or acquisition
  • If any provision is found invalid, the remaining provisions remain in full force
  • These Terms benefit and bind the parties and their successors and permitted assigns
